The Senior Associate ā Debt Capital Markets role sits within Dentonsā Middle East Banking and Finance practice, specifically the Middle East Debt Capital Markets (DCM) team, based in the UAE with office locations in Dubai or Abu Dhabi. The position is a permanent, office-based role reporting directly to a Partner and is designed for a mid to senior level associate with significant international DCM experience gained at a leading international or top-tier law firm. The role focuses on supporting a wide range of international debt capital markets transactions, with particular emphasis on advising underwriters and issuers on international bond issuances. The Middle East DCM team frequently advises issuers involved in emerging markets transactions, including financial institutions, sovereign entities and corporate issuers, and is increasingly instructed by lead managers on complex and high-profile matters. The team operates as part of the wider Middle East Banking & Finance practice and works closely with Dentonsā UK DCM group, which also advises on structured finance, securitisation and derivatives, providing exposure to a broad, sophisticated and cross-border transactional platform. The role offers significant client exposure, increased responsibility and leadership opportunities within a growing regional practice. The successful candidate will be involved in drafting, reviewing and negotiating both standard and complex bond documentation, leading the drafting of prospectuses across multiple jurisdictions and industry sectors, managing transactions on a day-to-day basis, and advising on evolving legal, regulatory and market developments impacting international DCM. The position also includes active involvement in business development initiatives, mentoring junior lawyers, and contributing to the long-term growth of Dentonsā Middle East DCM practice, within a firm that operates across more than 80 countries and is committed to inclusion, diversity, equity and sustainability.
Required skills
Key responsibilities
- Draft, review and negotiate standard and complex bond documentation for international debt capital markets transactions
- Take a leading role in drafting prospectuses for issuers across multiple jurisdictions and industry sectors, including emerging markets
- Manage international DCM transactions on a day-to-day basis, coordinating with clients, underwriters, regulators and other advisers
- Monitor, analyse and advise on market developments and legal and regulatory changes affecting international debt capital markets
- Support and contribute to business development activities, including pitches, client presentations and market-facing publications
- Supervise, mentor and work closely with junior associates and trainees within the Middle East DCM team
Experience & skills
- Demonstrate a strong academic background
- Possess significant debt capital markets experience gained at a leading international or top-tier law firm
- Show experience drafting and negotiating standard debt capital markets transaction documents
- Have experience across a range of transaction structures, including stand-alone bonds, medium term note programmes and liability management transactions, covering both conventional and Islamic debt issuances
- Demonstrate experience acting for underwriters on regional and international DCM transactions, with a strong understanding of commercial and risk considerations
- Demonstrate experience acting for issuers with strong disclosure drafting skills across multiple sectors and jurisdictions, particularly emerging markets
- Exhibit detailed knowledge of listing rules, disclosure requirements and disclosure liability
- Have experience working on both Regulation S and Rule 144A transactions
- Show ambition to take on increased responsibility, client exposure and leadership within a growing regional practice
- Demonstrate commitment to the Middle East, with Arabic language skills considered advantageous but not essential
