Job description
Chalhoub Group is seeking a Legal Counsel to join its Riyadh office and provide comprehensive legal support across commercial contracts, corporate governance, regulatory compliance, and general legal operations. The ideal candidate will have strong drafting skills, a robust understanding of KSA commercial and regulatory law, and the ability to work cross-functionally with internal stakeholders in a fast-paced retail environment. This role will contribute to safeguarding Chalhoubās legal interests while enabling its strategic initiatives in the Kingdom.
Required skills
Key responsibilities
- Draft, review, and negotiate a broad range of commercial agreements including distribution, service, retailer, supply, e-commerce, and lease agreements.
- Advise internal stakeholders on legal risks, obligations, and compliance, particularly around KSA Competition Law, E-Commerce Law, and PDPL.
- Assist with entity formation, share transfers, board changes, and corporate restructuring in compliance with MISA and MOCI.
- Support in drafting Articles of Association, shareholder resolutions, and board documentation.
- Manage execution of Powers of Attorney and liaise with notaries for registration.
- Ensure compliance with evolving regulatory frameworks including anti-bribery, AML, and other governance standards.
- Oversee licensing and regulatory filings, and support interactions with local authorities.
- Provide day-to-day legal advice and assist with dispute resolution in coordination with external counsel.
- Conduct legal research and recommend proactive risk mitigation strategies.
Experience & skills
- 2ā4 years of experience in legal drafting and commercial law.
- Bachelorās or Masterās degree in Law.
- Fluency in Arabic and English.
- Experience in fast-paced environments with strong attention to detail.
- Proactive and self-managed approach to work.
- Strong communication and stakeholder engagement skills.
- Experience with KSA regulatory frameworks, including MISA, MOCI, and PDPL.
