Key responsibilities

• Draft, review, and negotiate a broad range of commercial agreements including distribution, service, retailer, supply, e-commerce, and lease agreements.
• Advise internal stakeholders on legal risks, obligations, and compliance, particularly around KSA Competition Law, E-Commerce Law, and PDPL.
• Assist with entity formation, share transfers, board changes, and corporate restructuring in compliance with MISA and MOCI.
• Support in drafting Articles of Association, shareholder resolutions, and board documentation.
• Manage execution of Powers of Attorney and liaise with notaries for registration.
• Ensure compliance with evolving regulatory frameworks including anti-bribery, AML, and other governance standards.
• Oversee licensing and regulatory filings, and support interactions with local authorities.
• Provide day-to-day legal advice and assist with dispute resolution in coordination with external counsel.
• Conduct legal research and recommend proactive risk mitigation strategies.
