Job description
The Corporate Lawyer (KSA Market Focus) role at Agility is responsible for providing comprehensive corporate legal advice and governance support across operations in the Middle East and Africa region, with a primary focus on the Kingdom of Saudi Arabia market. The role delivers legal guidance on corporate matters to ensure compliance with local laws, regulations, and corporate governance frameworks, while supporting strategic business initiatives. Responsibilities include drafting, reviewing, and negotiating a broad range of legal agreements such as commercial contracts and joint ventures, conducting in-depth legal research and analysis on complex issues, and managing corporate legal documentation to ensure accurate record-keeping of transactions. The role advises internal stakeholders on jurisdiction clauses, indemnity clauses, transactional risks, and potential disputes, acting as the legal voice of the organization to identify business risks and recommend mitigation strategies. The position involves close collaboration with finance, HR, and operations teams, interaction with regulators, public authorities, and external legal counsel, and coordination with in-house litigation teams. The role also maintains and enhances internal governance policies, monitors compliance, manages regulatory enquiries, assists in handling client complaints and disputes to avoid litigation, and proactively tracks changes in laws and regulations impacting business operations in the KSA and MEA regions.

Key responsibilities
- Provide corporate legal advice to the business to ensure compliance with local laws, regulations, and corporate governance requirements across the MEA region with focus on KSA.
- Draft, review, and negotiate contracts, joint ventures, and other corporate legal agreements.
- Conduct legal research and analysis on complex corporate and regulatory matters and provide timely guidance to internal stakeholders.
- Manage and oversee legal documentation and corporate records related to transactions and governance matters.
- Advise the business on transactional issues including jurisdiction clauses, indemnity clauses, dispute exposure, and legal risk mitigation options.
- Act as the legal representative in communications and negotiations with regulators, public authorities, and external legal counsel.
- Work closely with the in-house litigation team and external counsels on disputes and regulatory matters.
- Handle and respond to regulatory enquiries and compliance-related requests.
- Monitor changes in laws and regulations, assess business impact, and proactively advise management on legal risks.
- Maintain, update, and monitor internal governance policies and compliance frameworks.
- Apply risk management techniques to identify potential legal issues and provide proactive solutions.
- Assist the business in handling client complaints and disputes to prevent escalation into litigation.
Experience & skills
- Hold a Master’s degree in Corporate Law or an equivalent legal qualification.
- Demonstrate a minimum of 8 years of experience in private practice or within the legal department of a large corporate organization.
- Exhibit excellent knowledge and understanding of corporate law, procedures, and governance frameworks.
- Be proficient in Arabic and English for reading and writing legal documentation.
- Demonstrate the ability to develop defensive and proactive legal strategies and exercise sound legal judgment with high professional ethics and integrity.
