Job description
As Legal Counsel at CBD, you will provide legal advisory and documentation support across various banking divisions including Wholesale Banking Group (WBG), Treasury (TSY), and Debt Capital Markets (DCM). Operating at the intersection of legal compliance and business strategy, you will ensure the bank meets legal obligations while enabling commercial outcomes. The role involves managing complex legal matters in lending, structured finance, capital markets, Islamic finance, and derivatives, while supporting new product development, legal documentation, and regulatory change initiatives. You will collaborate with internal stakeholders, manage external counsel, and contribute to digital transformation and legal efficiency projects in alignment with CBDâs progressive banking vision.
Required skills
Key responsibilities
- Provide legal advice to internal stakeholders across business functions such as WBG, TSY, DCM, Compliance, Audit, and IT.
- Support treasury operations including bond financing, ALM, derivatives, and other capital markets activities.
- Ensure legal compliance with all applicable laws, regulations, and internal policies.
- Manage due diligence processes to verify counterparty capacity and authority.
- Draft, review, and negotiate legal documents including NDAs, service agreements, shareholder agreements, SPAs, and project finance contracts.
- Structure and document complex financing deals (bilateral, syndicated, Islamic finance, acquisition, and real estate finance).
- Act as legal advisor for Treasury transactions including confirmations and trading agreements.
- Provide legal and documentation support for IBOR transition and derivatives projects.
- Maintain and develop document templates and legal standards across business functions.
- Instruct and manage external counsel, ensuring alignment with internal expectations.
- Participate in legal department strategic initiatives and digital transformation projects.
- Monitor legal developments and regulatory changes impacting CBD, advising leadership accordingly.
- Contribute to risk mitigation strategies and enhance legal policies for improved customer and business outcomes.
Experience & skills
- LLB or LLM in Law from a reputable university.
- Admission to UK or US Bar is mandatory.
- 8+ years of legal experience in the banking industry, preferably with international or regional financial institutions.
- Strong expertise in bilateral and syndicated lending, project finance, capital markets, and treasury documentation.
- Extensive knowledge of LMA standards and structured finance legal practices.
- Fluent in English with excellent verbal and written communication skills.
- Proficient in negotiation, contract management, and report writing.
- Ability to stay updated on legal and regulatory developments and apply them in a financial services context.
