Job description
The Corporate Governance Manager leads Tap Payments’ Corporate Governance function, with full accountability for the design, implementation, oversight, and continuous improvement of governance frameworks in alignment with SAMA’s Key Principles of Governance and international best practices. Operating within the Governance, Risk, and Compliance (GRC) Team, the role ensures robust governance across board operations, executive management, committee structures, shareholder rights, and disclosure practices. The position is responsible for developing and maintaining governance policies, procedures, and guidelines that comply with regulatory requirements and recognized frameworks such as BCBS, OECD, IFSB, and King IV. The role conducts regular governance assessments and gap analyses to ensure continuous compliance, maturity, and improvement of governance practices. Acting as the primary liaison between the Board of Directors, Board committees, executive management, and regulators, the Corporate Governance Manager supports the establishment, operation, and effectiveness of Board committees, including Audit and Risk Committees, in line with SAMA requirements. The role facilitates Board evaluations, succession planning, director onboarding and training, and ensures proper documentation, records management, and meeting governance. The position serves as the main point of contact with SAMA on governance matters, ensuring timely regulatory submissions, disclosures, and responses to regulatory inquiries and examinations. It oversees the preparation of annual governance reports, monitors regulatory changes, and advises leadership on necessary governance adaptations. Additionally, the role drives governance culture development across the organization through training programs, awareness initiatives, and leadership engagement, acting as an internal subject matter expert on governance, ethics, transparency, and accountability. The Corporate Governance Manager builds strong relationships with Board members, executive leadership, regulators, external auditors, legal advisors, and shareholders, while establishing governance metrics, KPIs, and a governance risk register to monitor compliance and improvement initiatives. The role continuously benchmarks governance practices against peers, monitors Board and committee resolutions, coordinates General Assembly meetings, and leads ongoing governance enhancement initiatives within a fast-paced fintech environment.

Key responsibilities
- Develop and implement comprehensive corporate governance frameworks in full compliance with SAMA’s Key Principles of Governance.
- Design, maintain, and update governance policies, procedures, and guidelines aligned with regulatory requirements and international best practices including BCBS, OECD, IFSB, and King IV.
- Conduct regular governance assessments and gap analyses to ensure ongoing compliance and continuous improvement.
- Serve as the primary liaison between the Board of Directors, Board committees, and executive management on governance matters.
- Coordinate the establishment, operation, and effectiveness of Board committees, including Audit and Risk Committees, in accordance with SAMA requirements.
- Facilitate Board evaluations, succession planning, director training, and ensure proper governance documentation and records management.
- Act as the primary point of contact with SAMA on governance matters, ensuring timely submission of reports, disclosures, and responses to regulatory inquiries.
- Monitor compliance with SAMA regulations and advise leadership on evolving regulatory requirements and necessary governance adaptations.
- Prepare annual governance reports and support regulatory examinations and reviews.
- Develop and implement key governance policies including conflict of interest, related party transactions, fit and proper assessments, board independence, disclosure frameworks, and whistleblowing mechanisms.
- Drive governance culture development through training programs, awareness campaigns, and leadership engagement across the organization.
- Build and maintain strong relationships with Board members, senior management, regulators, external auditors, legal counsel, and shareholders.
- Establish governance metrics, KPIs, and maintain a governance risk register, reporting regularly on compliance and improvement initiatives.
- Monitor Board and committee activities, track implementation of resolutions, and coordinate General Assembly meetings.
- Stay current on governance trends, benchmark practices against peer institutions, and lead continuous improvement initiatives.
Experience & skills
- Master’s degree in Law, Business Administration, Finance, Corporate Governance, or a related field, or a Bachelor’s degree with exceptional experience.
- 8–10 years of experience in corporate governance, compliance, legal, or risk management, with at least 3–5 years in a leadership role.
- Proven experience within financial services or fintech environments.
- Professional governance certifications such as ICGP, CGP, or ICA are highly preferred.
- Expert knowledge of SAMA Governance Principles, Saudi Companies Law, and international governance frameworks including BCBS, OECD, IFSB, and King IV.
- Demonstrated experience advising Boards of Directors and senior executives.
- Strong understanding of board dynamics, committee structures, executive oversight mechanisms, and the financial services regulatory environment.
- Fluency in English; Arabic language proficiency is a strong advantage.
