Job description
The Associate Director, M&A Projects is responsible for leading mergers, acquisitions, divestitures, joint ventures, and other strategic corporate transactions across Ooredoo's regional operations. This role covers the full M&A lifecycle, including deal sourcing, evaluation, financial analysis, valuation, due diligence, deal structuring, integration planning, execution, and post-merger support. The incumbent coordinates internal and external resources, ensures rigorous execution across multiple workstreams, and delivers end-to-end outcomes that align with Ooredoo's strategic objectives. They develop detailed financial models, scenario analyses, sensitivities, and value creation models to support investment cases and Board presentations. The role requires coordination with Strategy, Finance, Legal, and cross-functional teams, managing transactions ranging from USD 50 million to multi-billion-dollar deals, and advising on JV, carve-outs, buy-side, and sell-side opportunities. Post-deal responsibilities include tracking performance against business cases and synergy targets, supporting divestments or restructuring, and providing executive communication to senior leadership, shareholders, and external stakeholders. The role acts as a key member of the M&A team, contributing to Board approvals, Group Management Committee recommendations, and high-intensity, complex business planning projects under compressed timeframes.

Key responsibilities
- Lead M&A projects or workstreams, developing and preparing business models, valuation analysis, and recommendations for transactions
- Support the full lifecycle of mergers, acquisitions, divestitures, joint ventures including financial analysis, due diligence, deal structuring, and integration planning
- Work closely with Strategy, Finance, and Legal teams to assess opportunities, execute transactions, and ensure alignment with strategic objectives
- Identify and evaluate potential acquisition or divestment opportunities aligned with strategic priorities, conducting market, competitor, and sector research
- Maintain relationships with investment banks, advisors, and industry contacts to support deal origination
- Develop detailed financial models including DCF, precedent transactions, and comparable company analyses, and build scenario analyses, sensitivities, and value creation modeling
- Coordinate internal and external due diligence, collaborating with advisors, consultants, and internal experts to identify and mitigate risks
- Assist in drafting term sheets, letters of intent, and transaction documentation, providing commercial input for SPA and supporting negotiation of key deal terms
- Work with cross-functional teams to ensure smooth post-merger integration, track performance against business case and synergy targets, and support divestment or restructuring
- Prepare executive-level presentations, Board papers, and investor communications, representing the M&A department in cross-organizational discussions with senior management and external stakeholders
- Manage business planning elements of business development projects, ensuring rigorous execution, content leadership, and end-to-end delivery across multiple workstreams
Experience & skills
- Minimum 15 years' experience directly related to M&A projects including valuations, deal financial structuring, and price negotiations
- Proven experience in multiple M&A or transaction-related projects with end-to-end process management
- Strong foundation in valuation techniques including DCF, comparable based models, private vs. public valuations, IPOs, and private equity analyses
- Deep expertise in business valuation for public and private businesses
- Strong knowledge of telecom market developments, financials, and industry trends including wireless technologies, wireline technologies, and infrastructure assets
- Ability to synthesize business modelling and telecom industry knowledge to create financial models and succinct, clear summary presentations for key decision makers
- Experience running end-to-end M&A processes from deal sourcing to post-merger integration
- Bachelor's degree from a respected institution, Master or MBA from a respected institution
