Job description
The Governance & Compliance Specialist role at Beond in Dubai is a senior corporate legal and governance position responsible for supporting Legal Counsel in maintaining strong governance frameworks and corporate legal compliance across the Beond Group. The role involves overseeing governance activities, managing shareholder and board processes, and ensuring regulatory compliance across multiple jurisdictions including ADGM, DIFC, RAKICC, and international entities such as the Maldives. The position is responsible for managing corporate governance documentation, statutory registers, and regulatory filings while ensuring timely execution of legal and corporate documents. The specialist supports company incorporations, restructurings, re-domiciliations, and entity closures, ensuring compliance with applicable corporate laws and licensing frameworks. The role includes coordinating KYC documentation for banks, investors, and financial partners while maintaining governance best practices across group entities. Additionally, the specialist administers shareholder registers, ESOP programs, share issuances, and capital table updates. The role also involves drafting legal templates, managing power of attorney documentation, and supporting due diligence processes and audits. The Governance & Compliance Specialist collaborates with shareholders, investors, and external legal advisors, ensuring alignment with shareholder instructions and maintaining strong governance practices. This role requires strong knowledge of UAE corporate law, company secretarial responsibilities, and regulatory compliance within multi-entity group structures.
Required skills
Key responsibilities
- Manage scheduling, coordination, and documentation for board meetings and shareholder meetings including minute-taking and follow-up actions
- Draft, coordinate, and archive corporate governance documentation including resolutions, proxy forms, circulars, and meeting minutes
- Maintain statutory registers, entity records, licenses, and regulatory filings across multiple jurisdictions including ADGM, DIFC, and RAKICC
- Provide legal guidance on UAE corporate laws and ensure compliance with regulatory requirements and legislative updates
- Support entity incorporations, restructurings, re-domiciliations, and entity closures across group companies
- Coordinate and review KYC and regulatory documentation for banks, investors, and external stakeholders
- Maintain and standardize legal templates including NDAs, service agreements, and governance documentation
- Administer shareholder registers, ESOP programs, warrants, share issuances, and capital table updates
- Prepare documentation for due diligence exercises, audits, and investor-related activities
- Liaise with shareholders, legal advisors, and financial stakeholders to ensure governance alignment and compliance
Experience & skills
- Law degree or equivalent legal qualification
- Minimum 5 years of experience in corporate legal or company secretarial roles within UAE
- Strong knowledge of UAE corporate law and regulatory authorities including ADGM, DIFC, and RAKICC
- Experience managing governance structures and shareholder relations across group entities
- Ability to independently manage legal documentation, regulatory filings, and compliance matters
- Fluency in Arabic and English with strong legal communication skills
- Experience handling investor relations, corporate governance, and board-level documentation
- Strong organizational skills with ability to manage multiple entities and compliance deadlines
