Job description
The Generalist Lawyer ā Real Estate at OMNIYAT provides end-to-end legal support across real estate, development, corporate and dispute resolution matters, managing transactions, drafting and negotiating contracts and procurement agreements, advising on zoning, land use and planning approvals, and ensuring compliance with applicable laws and regulations. The role oversees arbitration proceedings (including drafting case briefs and liaising with arbitral institutions), manages common law dispute resolution processes, represents the company before DIFC Courts (not local UAE court litigation), and coordinates external counsel. Responsibilities include supporting corporate transactions with drafting, review, due diligence, and regulatory compliance; preparing and reviewing real estate transaction documents (sale, purchase, lease, development); conducting property due diligence and title verification; coordinating financing and mortgage documentation; drafting and updating corporate governance documents (shareholder agreements, board resolutions, company policies); maintaining statutory registers and ensuring timely corporate filings; delivering training and guidance to internal teams on contract management and dispute prevention; partnering with cross-functional teams to identify legal risks and propose commercially viable solutions; and monitoring legal developments to recommend process improvements that enhance compliance and risk management. The position requires a commercially minded qualified lawyer with 5+ years PQE (blend of reputable law firm and in-house exposure) and a strong real estate and development background, excellent drafting, negotiation and communication skills, the ability to work independently, manage multiple priorities, and influence stakeholders while balancing legal risk with business objectives.

- Provide legal advice on real estate and development projects to ensure compliance with applicable laws and regulations
- Draft, review, and negotiate real estate contracts, procurement agreements, and project documentation
- Advise on zoning, land use, planning approvals, and other regulatory matters impacting development
- Prepare and review tender documents, advising on procurement strategies and risk allocation
- Manage and coordinate arbitration proceedings, including drafting case briefs and liaising with arbitral institutions
- Oversee common law dispute resolution processes and assess settlement opportunities
- Represent the company in DIFC Courts and manage relationships with external counsel
- Support corporate transactions by drafting/reviewing agreements, conducting due diligence, and ensuring regulatory compliance
- Prepare and review sale, purchase, lease, and development agreements; conduct property due diligence and title verification
- Coordinate financing and mortgage documentation
- Draft and update shareholder agreements, board resolutions, and company policies; maintain statutory registers and corporate filings
- Provide training to internal teams on contract management and dispute prevention

Experience & skills
- Qualified lawyer with a professional legal qualification conferring rights to practice in the UK, EU, Australia, New Zealand, South Africa, Canada, the United States, or an equivalent jurisdiction
- 5+ years post-qualification experience (PQE) with combined reputable law firm and in-house exposure
- Strong background in real estate and development sectors
- Proven expertise in dispute resolution (not local UAE court litigation), real estate contracts, and general contract and corporate law
- Excellent drafting, negotiation, and communication skills
- Ability to work independently, manage multiple priorities, and balance legal risks with business objectives
- Strong commercial acumen and stakeholder influence skills; proactive and adaptable in a fast-paced environment
