Job description
Every Board and Annual General Meeting at e& depends on careful preparation, from the agenda agreed with management to the minutes that record what was decided and why. This Emiratized Senior Manager role in Abu Dhabi owns that cycle and keeps the Co-Chairs and Board members informed on matters of importance. Between meetings, attention turns to the corporate governance framework, terms of reference for the board and advice on best practice across the company. Decisions have to match regulatory filing requirements and the company's constitution, articles of association and bylaws, which also govern how authority passes from shareholders to the board. SPV board and general meetings form a separate strand, together with the paperwork for setting up and liquidating SPVs. Induction training for new directors is yours to lead. Smaller but important tasks include paying Board remuneration on schedule, advising on authorized representatives and powers of attorney, and keeping the board composition matrix and director succession timetable current. Candidates should hold a bachelor's degree in business administration and have 4 to 6 years in board relations or corporate secretariat, with working knowledge of board evaluation, shareholder affairs and corporate compliance.
