Job description
The General Counsel at OQ RPI is responsible for all legal affairs affecting the business unitsâ operations and commercial activities. Reporting directly to the CEO, this executive role leads the legal team and acts as the principal legal advisor to senior management, ensuring compliance with laws and regulations, managing contractual and regulatory risk, overseeing legal strategy, and supporting the companyâs strategic goals across its refining and petrochemical operations. The position encompasses managing legal disputes, supporting M&A, negotiating contracts, ensuring environmental and anti-corruption compliance, and building legal capability in line with national and international best practices.

Key responsibilities
- Manage the legal team and day-to-day operations of the Legal Department across RPI business units.
- Act as the lead legal advisor to senior leadership on all strategic and operational legal matters.
- Develop and implement legal and compliance strategies that align with RPIâs strategic goals.
- Ensure regulatory and legal compliance across environmental, commercial, and governance areas.
- Lead the negotiation of major commercial and project agreements including EPC, technology, joint ventures, and offtake contracts.
- Support project development through contract structuring, regulatory navigation, and dispute resolution.
- Manage legal risks by advising on structuring transactions, litigation strategy, and regulatory change impact.
- Oversee the development of compliance policies including anti-bribery, export controls, and whistle-blower protection.
- Lead M&A legal support including legal due diligence, structuring, and execution of deals.
- Drive continuous improvement in legal processes including contract management and digital transformation.
- Advise on legal aspects of procurement and provide updated templates and compliance clauses.
- Represent the organization in discussions with external stakeholders, government bodies, and legal counsel.
- Provide strategic legal input into corporate governance and commercial policy development.
- Support the executive team in navigating complex legal challenges tied to strategic initiatives.
Experience & skills
- Undergraduate degree in Law and authorized to practice law.
- 15+ years of experience in legal roles, with at least 5 years in senior corporate legal leadership.
- Deep understanding of Omani legal system and international legal standards.
- Extensive experience with contracts, trade agreements, corporate law, and energy-related legal frameworks.
- Strong M&A experience including transaction support, legal structuring, and regulatory navigation.
- Expertise across legal disciplines including compliance, litigation, governance, and risk management.
- Demonstrated ability to lead legal negotiations and influence high-level stakeholders.
- Strong understanding of project legal work: feasibility, EPC, licensing, JV, O&M agreements.
- Familiarity with compliance regulations (sanctions, anti-corruption) and their application in global settings.
- Ability to build and manage a high-performing legal team, drive process efficiencies, and manage large legal portfolios.
- Fluency in English, especially in drafting and reviewing complex legal documents.
