The Senior Corporate Governance Executive at Deriv.com in Dubai, United Arab Emirates, is a full-time, senior-level position within the Legal & Compliance function tasked with ensuring effective corporate governance across multiple entities, jurisdictions, and regulatory frameworks. This role goes beyond basic administrative duties, requiring meticulous attention to detail, strategic oversight, and the ability to identify and resolve compliance issues before they escalate. The executive provides comprehensive administrative support to the Corporate Governance Team, driving the full lifecycle of Board proceedings, including preparation of agendas, Board Packs, resolutions, meeting minutes, and notices for both Trading and Holding entities. They are responsible for preparing, organizing, and filing statutory documents and compliance reports, maintaining accurate digital and physical records, and performing monthly spot checks of all registers, including Minutes, Directors, and Shareholders. The role involves liaising with internal teams and external service providers, managing requests and ensuring that corporate governance requirements are consistently met. Additionally, the executive supervises team members by reviewing their work, mentoring, and facilitating professional development through knowledge-sharing sessions, refresher training, and onboarding new employees. The position also includes conducting screening escalations, reviewing risk assessments, leading governance and regulatory compliance projects, and implementing process improvements that ensure accuracy, efficiency, and regulatory compliance. The executive leverages AI tools to automate routine tasks such as document drafting, scheduling, and filing, allowing focus on quality control, complex judgment calls, and oversight of governance systems. - Provide comprehensive executive administrative support to the Corporate Governance Team and Compliance department, acting as a key pillar in governance operations across multiple entities and jurisdictions.
- Drive the full lifecycle of Board proceedings by preparing agendas, Board Packs, finalizing resolutions, meeting minutes, and notices for Trading and Holding entities with meticulous attention to detail.
- Prepare, organize, and file statutory documents and post-meeting compliance reports, ensuring all legal and regulatory obligations are met across jurisdictions.
- Maintain accurate digital and physical records, perform monthly spot checks, and update all relevant registers including Minutes, Directors, and Shareholders to ensure audit readiness and compliance.
- Liaise with internal teams and external service providers to manage governance-related requests efficiently, ensuring alignment with corporate and regulatory requirements.
- Supervise and review the work of team members, providing guidance, mentoring, and facilitating professional growth through knowledge-sharing sessions and training.

Experience & skills
- Demonstrate 5+ years of administrative experience or similar support role within corporate governance, compliance, or legal departments.
- Exhibit strong organizational skills with meticulous attention to detail to manage multiple deadlines across entities and jurisdictions without error.
- Proficient in Microsoft Office and comfortable learning and adapting to new software and AI tools to enhance governance operations.
- Show strong communication skills for clear and professional interaction with internal teams, stakeholders, and external service providers.
- Demonstrate proactive and dependable project management capabilities, with the ability to execute governance operations independently and meet fixed compliance deadlines.
