Job description
The Manager - Governance will support Emirates NBD Capital Limited and Emirates NBD Capital PSC by ensuring robust governance, compliance, and operational risk frameworks are in place. This role covers policy development, audit oversight, regulatory reporting, license renewals, risk assessments, and cross-departmental coordination. The position is central to maintaining corporate governance, mitigating risks, and ensuring compliance with UAE and GCC regulations, while also supporting transaction execution and providing governance-related support across investment banking functions.

Key responsibilities
- Assist the line Manager in preparing SOPs, policies and processes for Emirates NBD Capital Limited & Emirates NBD Capital PSC.
- Review amendments to processes/procedures from a governance standpoint and recommend corrective and control points.
- Oversight of EmCap risk and controls and ensure strict compliance.
- Monitor, track and report on external/internal audits pertaining to EmCap and ensure corrective action and timely closure of audit observations.
- Assist Line Manager in implementing audit recommendations.
- Assist in preparing Board files.
- Review vendor agreements to align with Group policies and Master Agreements.
- Coordinate RFIs, surveys, and questionnaires from regulators/markets with business teams.
- Track and address regulator data requests working closely with EmCap Compliance.
- Conduct annual SCA and related markets license renewal procedures.
- Act as SPOC for issues raised during compliance monitoring and QA reviews.
- Highlight concerns of data leakage or cyber security events to EmCap OPS and Compliance.
- Escalate suspicious/fraudulent transactions as required.
- Work with Business and Operations to remediate customer data/agreement related gaps.
- Assist Group/EmCap Compliance with FATCA/CRS submissions.
- Monitor employee compliance with policies such as Code of Conduct, PAD, PI, and Wall Crossing.
- Assist in reviews of ORCAs, KCAs, KRIs, and ensure adherence to the operational risk framework.
- Conduct learning sessions and staff training on governance-related topics.
- Ensure timely completion of user access reviews and mandatory trainings.
- Raise and monitor NPPAs for closure within planned timelines.
- Support new initiatives pertaining to UAE/regulatory requirements or process improvements.
- Collaborate with stakeholders across GOPS, IT, Legal, Compliance, and Operations to meet deliverables.
- Review transaction documents and coordinate with business/legal/risk/compliance teams for approvals.
- Coordinate with departments for transaction execution and removal of bottlenecks.
- Assist in supervising the Operations & Governance team and reviewing performance.
- Respond to inquiries from INA, OPS Risk, GCD, GCCS, and other departments.
Experience & skills
- University Degree/Post-graduation.
- Professional Certification (e.g., Banking Diplomas).
- 5 years in Investment Banking or Corporate Banking.
- 5ā10 years in UAE or GCC region.
- 5ā7 years in Business Support role or Compliance role.
- Knowledge of Investment Banking functions: Capital Market transactions, Loan Syndications, M&A, IPO settlements.
- Knowledge of DIFC/SCA/Central Bank regulations.
- Knowledge of banking laws, commercial laws, accounting rules, invoicing.
- Experience in review of contracts/agreements and vendor management.
- Company secretarial skills.
- Experience in IT system testing/implementation.
- Planning, organizing, leadership, and control skills.
