Job description
This role supports the Board Secretary in executing the full scope of company secretarial functions and governance responsibilities. It focuses on ensuring adherence to corporate governance standards and regulatory compliance, and involves extensive interaction with senior stakeholders. The role encompasses document preparation, board and committee support, shareholder communication, statutory filing, and corporate governance project management. This position also provides the opportunity to help shape board policy, support director training, and maintain critical governance documentation across the bank and its subsidiaries.
Required skills
Key responsibilities
- Assist the Board Secretary with preparation of all documentation required in connection with the Bankās Board and committees
- Assist in the drafting and circulation of board and committee minutes and resolutions
- Support board meeting logistics including scheduling, agenda drafting, and board pack preparation
- Draft and update governance documents including charters, policies, and memoranda
- Help maintain compliance with regulatory requirements through filings with CBB, Bahrain Bourse, and MOIC
- Assist in onboarding new directors and maintaining induction materials
- Support continuing professional development (CPD) planning for board members
- Assist in board self-assessment processes and data analysis for the Corporate Governance Committee
- Maintain statutory registers and legal corporate documents
- Coordinate shareholder communications and preparations for AGMs and EGMs
- Track regulatory developments and ensure updates are communicated to the board
- Support governance elements of strategic projects and initiatives
- Assist with governance compliance of subsidiaries
- Support development and maintenance of management committee terms of reference
Experience & skills
- Bachelorās degree in Law, Business Administration, or related field
- Professional company secretarial qualification (e.g., ICSA) is a plus
- 3+ years of relevant experience in a secretarial or governance role
- Strong knowledge of corporate law and regulatory frameworks
- Proficiency in board-level governance procedures and document drafting
- Experience supporting senior executives or boards
- Ability to interpret and apply regulatory requirements
- Strong organizational and time management skills
- Excellent communication and stakeholder engagement abilities
- Proficiency with Microsoft Office Suite and governance software
