The Manager, Capital Structure Advisory role within ADNOC HQ (Abu Dhabi, United Arab Emirates) is a senior finance and investment position responsible for leading the formulation of optimal capital structures and financial structuring strategies across ADNOC Group companies. The role focuses on evaluating investment proposals, undertaking feasibility studies, reviewing financing requirements, and developing innovative financing solutions aligned with ADNOC Financing Strategy and Policy. The incumbent leads capital structure optimization initiatives including refinancing, debt restructuring, and structuring of loans through multiple instruments such as bank financing, structured financing, and debt capital markets. The role also oversees credit rating management for ADNOC, including engagement with rating agencies, preparation of annual rating review materials, and coordination with internal and external stakeholders. It involves maintaining and developing economic and financial models for project evaluation, interpreting feasibility studies, and analyzing CAPEX pipelines to identify export credit agency (ECA) financing opportunities. The position requires active monitoring of long-term group funding requirements, maintaining a five-year debt obligations schedule, and ensuring alignment of asset and liability management across the ADNOC Group. The role provides advisory services to Group CFOs on financing decisions, supports M&A, joint ventures, spin-offs, and investment strategy execution, and ensures compliance with KYC, FATCA, and CRS requirements. It involves continuous engagement with banks, investors, financial institutions, auditors, consultants, and rating agencies, ensuring effective communication and execution of financing strategies. The role also includes developing RFPs, evaluating bids, managing financial advisors, and contributing to MIS reporting, budgeting, and variance analysis to support senior management decision-making in a complex energy sector environment.

Key responsibilities
- Lead the formulation of capital structure strategies and financial structuring solutions for ADNOC Group companies
- Evaluate investment proposals and conduct feasibility studies to assess financing requirements
- Develop and implement innovative financing solutions aligned with ADNOC financing strategy
- Oversee debt capital raising through bank financing, structured financing, and debt capital markets
- Develop and maintain financial and economic models for project evaluation and investment analysis
- Analyze CAPEX pipelines to identify ECA financing opportunities
- Manage and maintain ADNOC credit rating and coordinate engagement with rating agencies
- Prepare and communicate annual credit rating review documentation
- Provide advisory support to Group CFOs on capital structuring and financing decisions
- Develop refinancing and debt restructuring strategies for ADNOC Group liabilities
- Maintain group-wide capital structure and asset-liability management oversight
- Monitor long-term funding requirements and prepare 5-year debt obligation schedules
- Liaise with banks, investors, and financial institutions for sourcing funds and financing solutions
- Coordinate with internal and external stakeholders including auditors, consultants, and JV partners
- Support M&A, joint ventures, spin-offs, and investment strategy implementation
- Develop RFP documentation, bid evaluation criteria, and manage financial advisor engagements
- Ensure compliance with KYC, FATCA, CRS, and related regulatory requirements
- Conduct financial analysis of balance sheets and assess impact of management plans
- Support audit committee activities and financial governance processes
- Prepare MIS reports, progress reports, and financial performance updates
- Support budgeting, variance analysis, and cost control initiatives
- Implement internal financial policies, controls, and ISO-aligned processes
Experience & skills
- Bachelor’s degree in Accounting, Business Administration, Finance or equivalent
- Minimum 12 years of experience in financing or accounting-related roles
- Experience in capital structure, treasury, or corporate finance functions
- Professional certifications such as CFA, CTP, CIMA or equivalent preferred
- Strong knowledge of debt capital markets, bank financing, and structured financing
- Experience in financial modeling, feasibility studies, and investment analysis
- Knowledge of credit rating processes and rating agency engagement
- Experience with M&A, joint ventures, and corporate restructuring
- Familiarity with KYC, FATCA, and CRS compliance requirements
- Strong stakeholder management experience with banks, investors, and consultants
- Advanced analytical and financial interpretation skills
- Excellent English communication skills (Arabic is an advantage)
