Job description
The Legal Advisor provides expert legal support on domestic and cross-border mergers and acquisitions, including acquisitions, disposals, and joint ventures across the Group’s ports, logistics, maritime, and industrial clusters. The role includes drafting, reviewing, and negotiating key transactional documents such as NDAs, SPAs, SHAs, and investment agreements, as well as managing external legal counsel across multiple jurisdictions. The advisor leads legal due diligence, advises on transaction structuring, risk allocation, regulatory requirements, and closing mechanics, and provides guidance on post-completion integration, corporate governance, and ongoing shareholder matters. This role also supports strategic legal initiatives, process optimization, and operational excellence within the Group, while working closely with senior stakeholders, including Strategy & Growth, Finance, and executive management.

Key responsibilities
- Provide legal support on M&A transactions, including acquisitions, disposals, and joint ventures
- Draft, review, and negotiate transaction documents including NDAs, SPAs, SHAs, investment agreements, and ancillary documents
- Lead legal due diligence and advise on transaction structuring, risk allocation, regulatory considerations, and closing mechanics
- Manage and coordinate external legal counsel across multiple jurisdictions
- Advise on post-completion integration, corporate governance, and ongoing shareholder matters
- Work closely with senior internal stakeholders including Strategy & Growth, Finance, and executive management
- Support identification of skill gaps and training requirements for teams to ensure consistent high performance
- Participate in formulation of overall Legal strategy and ensure alignment with group objectives
- Act as strategic advisor to leadership on legal best practices and trends
- Lead strategic planning, development, execution, and evaluation of all legal initiatives
- Lead cross-functional teams to streamline processes and implement best practices to drive operational excellence
Experience & skills
- Bachelor’s degree in Law; LLM/PhD preferred
- Minimum 12–15 years post-qualification experience in M&A and corporate legal advisory
- Experience at a top-tier or international law firm and/or in-house within a large multinational or government-related entity, preferably in the Middle East
- Proven experience advising complex cross-border M&A transactions
- Strong commercial judgment, drafting, negotiation, and project management skills
- Pro-active and able to operate independently in a fast-paced environment
- English proficiency required
