Job description
The Senior Legal Counsel β Commercial & Technology supports the Head of Legal β Commercial & Technology in managing legal risk across all geographies in which the FAB Group operates, covering Commercial & Technology activities in accordance with FAB Group legal policies and procedures. The role involves autonomous legal advisory responsibilities while escalating unusual, complex, or high-risk legal, financial, or reputational matters to senior leadership. The position provides comprehensive legal advice to business stakeholders to support strategic objectives, ensures compliance with applicable laws, rules, and regulations, and assists in establishing and implementing FAB Group legal policies. Responsibilities span litigation supervision, dispute management, representation before courts, Notaries Public, court experts, and police, and reporting litigation matters to senior legal leadership. The role supports corporate acquisitions, divestments, joint ventures, incorporations, business carve-outs, M&A transactions, HR-related legal matters, debt recovery, and other corporate and commercial matters. It includes managing external legal counsel, drafting, reviewing, and negotiating contracts, maintaining standardized legal agreements and terms, conducting legal and regulatory due diligence for new products across multiple geographies, and ensuring alignment with international best practices. The Senior Legal Counsel stays current on new laws and regulations, provides legislative updates to senior stakeholders, contributes to knowledge sharing and legal training initiatives, liaises with external law firms and authorities, ensures accurate MIS and reporting, and undertakes people management responsibilities including performance management and talent development within the legal team.

Key responsibilities
- Provide legal advice and support on Commercial & Technology activities in alignment with FAB Group legal policies and strategic objectives
- Supervise and manage litigation and disputes in the UAE and internationally, including representation before courts, Notaries Public, court experts, and police
- Draft, review, negotiate, and standardize contracts, legal agreements, and terms and conditions to maximize legal protection and minimize risk
- Advise on corporate acquisitions, divestments, joint ventures, incorporations, business carve-outs, M&A transactions, HR legal matters, and debt recovery
- Manage external legal counsel and conduct legal and regulatory due diligence for new products across all applicable geographies
- Ensure compliance with applicable laws, regulations, internal policies, and reporting requirements while supporting knowledge sharing and legal training
Experience & skills
- Hold a Bachelorβs degree in law from an internationally recognised university with a Masterβs degree in law preferred
- Be qualified as a lawyer in the UK, USA, Australia, or another Commonwealth or Western European jurisdiction
- Possess a minimum of 7 yearsβ experience in a reputed bank or law firm, including at least 4 years in a similar role
- Demonstrate mandatory experience in corporate law and commercial matters, with preferred exposure to M&A and beneficial exposure to HR legal matters
- Exhibit excellent English language skills with the ability to read, write, and communicate in Arabic
