Job description
Mamo is hiring a Legal Counsel to enable and scale the company by working across contracts, corporate governance (board packs, resolutions, filings), commercial negotiations, occasional regulatory matters for a licensed entity, and rapid-turnaround document reviews; the role partners closely with Product, Risk, Finance, and Compliance to own commercial contracting end-to-end (draft, review, and negotiate merchant, partner, and supplier agreements, NDAs, SaaS/MSAs, and other contracts), run the governance cadence (prepare and circulate board packs, draft minutes/resolutions, and handle filings in the UAE and relevant free zones/jurisdictions), act as a first responder for urgent review requests and prioritize to keep business timelines unblocked, support commercial negotiations (join calls, mark up redlines, propose pragmatic positions, and close loops with stakeholders), handle light regulatory work (assist with licensing updates, notifications, and correspondence with regulators and help track obligations), and tidy the legal engine by maintaining templates and clause libraries, keeping signature and approval flows moving, and improving processes, playbooks, and the contract repository; the role also coordinates with external counsel and liaises with external firms on discrete matters to ensure actionable advice, assists in handling disputes, debt recovery, and regulatory complaints by coordinating strategy and ensuring timely responses, requires 3-5 yearsâ legal experience with meaningful UAE exposure and experience across UAE free zones and other GCC markets, a strong understanding of the regulatory environment and legal issues related to fintech and digital payments, and high technical proficiency as a power user of Google Docs/Sheets, fast with redlines, comments, styles, and formatting, comfortable with collaboration tools (email/Slack), e-signature, and basic CLM/automation, along with confidence in contracts, corporate governance, and commercial law within a startup environment that values process and automation and aims to drive financial inclusion.

Key responsibilities
- Own commercial contracting end-to-end by drafting, reviewing, and negotiating merchant, partner, and supplier agreements, NDAs, SaaS/MSAs, and other contracts.
- Run the governance cadence by preparing and circulating board packs, drafting minutes/resolutions, and handling filings in the UAE and relevant free zones/jurisdictions with rigor and speed.
- Act as first responder by triaging urgent 'can you review this quickly?' requests, setting priorities, and keeping business timelines unblocked.
- Support commercial negotiations by joining calls, marking up redlines, proposing pragmatic positions, and closing loops with stakeholders.
- Handle light regulatory work by assisting with licensing updates, notifications, and correspondence with regulators and helping track obligations.
- Maintain the legal engine by managing templates and clause libraries, keeping signature and approval flows moving, and improving processes, playbooks, and the contract repository.
- Coordinate with external counsel and liaise with external firms on discrete matters to ensure advice is actionable for the business.
- Assist in handling disputes, debt recovery, and regulatory complaints by coordinating strategy and ensuring timely responses.
Experience & skills
- Bring 3-5 yearsâ legal experience with meaningful UAE exposure, ideally including in-house experience for a fintech startup.
- Demonstrate experience working within the UAE and its various free zones as well as other GCC markets.
- Show strong understanding of the regulatory environment and legal issues related to fintech and digital payments.
- Exhibit extreme tech-savviness as a power user of Google Docs/Sheets, fast with redlines, comments, styles, and formatting, and comfortable with collaboration tools (email/Slack), e-signature, and basic CLM/automation.
- Display confidence with contracts, corporate governance, and commercial law.
