The Senior Legal Counsel role within Majid Al Futtaim Properties ā Communities Development UAE is responsible for managing all legal aspects of the Development Business Unit (DBU) and serving as a key legal advisor supporting the Vice President Legal. The role provides commercially focused and cost-effective legal counsel across complex real estate development projects, investment transactions, and joint venture arrangements across multiple jurisdictions including the United Arab Emirates, Saudi Arabia (KSA), and Egypt. The position plays a central role in structuring, negotiating, and executing high-value real estate and development transactions, including joint ventures, Share Purchase Agreements (SPAs), development agreements, management agreements, bulk sale arrangements, and financing-related legal structures. The Senior Legal Counsel acts as the primary legal point of contact for DBU projects and transactions, overseeing end-to-end legal support from initial term sheet negotiation through transaction closing and implementation. The role requires extensive expertise in real estate law, contract negotiation, transaction structuring, and cross-border investments within the real estate development sector. The position supports internal stakeholders by providing timely, pragmatic, and commercially oriented legal advice that balances risk management with business objectives while ensuring alignment with regulatory requirements and legal frameworks. The role also focuses on identifying legal and regulatory risks across development activities and implementing mitigation strategies aligned with the organizationās risk appetite and governance standards. The Senior Legal Counsel leads legal workstreams for major development projects while coordinating with cross-functional teams including Development, Finance, Commercial, Sales, Investment, Risk, and Governance departments. Responsibilities also include drafting, reviewing, and negotiating complex contracts and legal documentation while maintaining standardized legal templates that align with applicable laws and best practices. The role further supports dispute avoidance strategies and preventive law practices while managing litigation and arbitration processes in collaboration with external counsel where necessary. The Senior Legal Counsel contributes to the legal governance of large-scale real estate developments undertaken by Majid Al Futtaim, a leading regional real estate developer operating across the Middle East and known for delivering major mixed-use developments, retail destinations, and residential communities.

Key responsibilities
- Provide comprehensive legal oversight for the Development Business Unit (DBU) by managing all legal matters related to real estate development projects, investment transactions, and joint venture arrangements across the UAE and other operating jurisdictions including Saudi Arabia and Egypt.
- Support the Vice President Legal by leading legal matters independently, serving as an escalation point for legal issues within the Development Business Unit, and ensuring timely and effective resolution of complex legal challenges.
- Structure, negotiate, and execute complex real estate development transactions including joint ventures, Share Purchase Agreements (SPAs), development agreements, management agreements, bulk sale transactions, and financing-related legal arrangements from term sheet negotiation through final execution.
- Provide commercially focused legal advice to senior internal stakeholders across Development, Finance, Commercial, Sales, Investment, Risk, and Governance teams, clearly outlining legal risks while balancing business objectives with risk mitigation requirements.
- Identify, assess, and manage legal and regulatory risks associated with real estate development activities, ensuring alignment with the organizationās risk appetite while implementing appropriate risk mitigation strategies and escalation procedures where required.
- Draft, review, and negotiate complex contracts, legal documentation, and transactional agreements while maintaining and continuously improving legal templates to ensure compliance with applicable laws, regulatory frameworks, and industry best practices.
- Lead legal workstreams on major development projects assigned by the Vice President Legal, ensuring the successful delivery of legal outcomes within defined timelines and coordinating effectively with cross-functional internal teams.
- Advise on dispute prevention strategies and manage litigation or arbitration proceedings when required, coordinating with external legal counsel to define dispute resolution strategies and oversee the implementation of legal actions both in and out of court.
Experience & skills
- Hold a Bachelorās degree in Law from a recognized academic institution as the foundational qualification required for practicing law in complex legal and corporate environments.
- Demonstrate a minimum of 10 years of post-qualification legal experience gained within a reputable law firm and/or a real estate development company, with strong exposure to complex real estate and development transactions in the UAE.
- Show proven experience structuring, negotiating, and closing complex transactions including joint ventures, real estate development agreements, investment transactions, and other corporate arrangements within the real estate sector.
- Demonstrate experience handling cross-border transactions and legal matters involving multiple jurisdictions such as the UAE, Saudi Arabia (KSA), and Egypt within the real estate development and investment environment.
- Possess strong expertise in drafting and negotiating complex contracts, legal agreements, and transactional documentation related to real estate development, joint ventures, and corporate investments.
- Demonstrate strong knowledge of legal risk management, regulatory compliance, dispute resolution processes, litigation management, and arbitration procedures within real estate and corporate legal frameworks.
- Hold additional academic qualifications such as a Master of Laws (LLM) or a Master of Business Administration (MBA) from a reputable university as an advantage for handling complex commercial transactions.
- Possess bilingual language proficiency with fluency in both Arabic and English to support legal negotiations, contract drafting, and communication with stakeholders across regional jurisdictions.
