Job description
As part of the Companyâs commitment to controlling global warming, TotalEnergies Renewables is involved in numerous commercial, technical, and industrial developments of large-scale projects worldwide, as well as the acquisition and sale of equity interests. This orientation requires strong legal support. Under the supervision of the Legal Manager, MENA, the Legal Counsel will manage corporate law aspects of regional entities, lead contract review and negotiation, support business units, handle tender documentation, coordinate external legal counsel, and ensure legal compliance across TotalEnergies Renewables' projects and governance structures in the Middle East.
Required skills
Key responsibilities
- Managing the corporate law aspects of the existing entities of TotalEnergies Renewables in the region, including leading incorporation of entities, preparing boards and shareholdersâ meetings and ensuring compliance with governance rules.
- Launching RfP for the selection of advisors.
- Supporting senior team members of the legal team.
- Drafting and/or reviewing a wide range of contracts including power purchase agreements, confidentiality agreements, letters of intent, MOUs, joint development agreements, shareholders agreements, EPC contracts, O&M agreements, land agreements.
- Actively participating in contract negotiations.
- Preparing legal documentation for responses to calls for tenders for renewable projects and managing legal aspects post-award.
- Participating in the creation or governance of joint ventures and implementation of agreements.
- Supporting the business development, construction, and asset management teams.
- Coordinating and supervising external law firms while applying internal legal group policies.
- Contributing to legal reporting and preparing documents for internal committees.
- Ensuring compliance with Company corporate policies.
- Implementing a culture of compliance and integrity.
Experience & skills
- Postgraduate degree in business law with ideally a double qualification (Civil and Common Law).
- Minimum 3 yearsâ experience in a generalist legal position with good knowledge of corporate and commercial laws.
- Excellent command of the English language; proficiency in French is an advantage.
- Experience working within a multinational company.
- Ability to adapt quickly to complex and varied legal situations.
