Job description
The Senior Associate Corporate M&A role at AS&H Clifford Chance is based in Riyadh and involves applying significant regional, European, and international legal experience across a wide spectrum of corporate, regulatory, and commercial activities, including mergers and acquisitions, disposals, joint ventures, corporate restructurings, and equity capital markets transactions. The role encompasses advising on both public and private M&A and ECM matters across the Middle East, delivering high-level strategic legal advice on corporate governance, regulatory compliance, and risk management, and working on landmark and first-of-their-kind transactions in Saudi Arabia and internationally. The team has advised on major initial public offerings, including concurrent dual IPOs and listings on UAE and KSA stock exchanges, large-scale listings on the Saudi Exchange (Tadawul), mergers executed via share exchange transactions, sales of treasury shares through rights issue mechanisms, secondary public offerings, record-breaking regional M&A disposals, statutory banking mergers, Shari'a compliant subordinated financial equity-like instruments, and Rule 144A IPOs. Required skills
Key responsibilities
- Lead and oversee complex corporate transactions including mergers, acquisitions, disposals, and joint ventures across public and private M&A and equity capital markets transactions in the Middle East
- Provide high-level strategic legal advice on corporate governance, regulatory compliance, and risk management in the context of Saudi Law and cross-border transactions
- Draft, review, and negotiate sophisticated corporate documents and agreements relating to M&A, ECM, IPOs, listings, restructurings, and related corporate matters
- Supervise, mentor, and develop junior associates while fostering a collaborative and well-structured team environment
- Collaborate with other practice areas within the firm to deliver integrated legal solutions across capital markets, finance, banking, and related disciplines
- Maintain and enhance client relationships with top-tier Saudi and international clients to ensure high levels of client satisfaction and retention
- Monitor legal developments and industry trends to deliver proactive and forward-thinking legal advice
Experience & skills
- Hold qualification as a lawyer with 7–8 years of post-qualification experience in corporate law, preferably gained within a top-tier international law firm
- Demonstrate a proven track record of acting or leading on mergers and acquisitions and equity capital markets transactions
- Possess experience in or exposure to advising on Saudi Law aspects of international cross-border transactions
- Exhibit extensive experience managing and executing complex corporate transactions including IPOs, listings, mergers, disposals, and restructurings
- Show fluency in English with proficiency in Arabic considered advantageous and demonstrate a genuine interest in or affinity for the Middle East
- Maintain exceptional academic results and first-class legal ability combined with a practical commercial approach
