Job description
The Senior Paralegal role in Dhahran, Saudi Arabia is a governance, legal, and compliance-focused position responsible for supporting legal operations, corporate governance activities, venture capital portfolio oversight, and regulatory compliance functions. The role involves coordinating legal due diligence for investee companies, reviewing and revising transactional documents, supporting contract lifecycle activities, and assisting supervising attorneys with regulatory and audit inquiries. It also includes conducting advanced factual research and basic legal research to support legal decision-making and documentation accuracy. A key component of the role is managing Know Your Customer (KYC) processes, including coordination with consultants, handling documentation of background checks, and ensuring resolution of identified red flags in compliance reports. The position plays a critical role in portfolio governance post-investment, including reviewing shareholder resolutions, advising on contractual compliance, and supporting governance training for portfolio companies. Additionally, the role is heavily involved in board and committee coordination activities such as preparing annual calendars, agendas, board packs, meeting minutes, and ensuring timely submission and closure of board actions. The Senior Paralegal also acts as a subject matter expert in governance documentation including shareholder mandates, articles of association, and delegation of authority frameworks, while ensuring proper document control, data classification, and secure archiving of legal records. The role requires strong attention to detail, confidentiality, organizational capability, and the ability to manage multiple time-sensitive legal and governance tasks in a structured compliance-driven environment.

Key responsibilities
- Coordinate legal due diligence for prospective investee companies and support review of legal and transactional documentation to ensure accuracy and compliance with applicable legal standards.
- Review and revise preliminary drafts of standard transactional documents while advising on improvements to streamline legal processes and improve transaction efficiency.
- Manage and coordinate KYC processes for target companies and founders, including liaising with consultants, handling renewals, reviewing invoices, and ensuring closure of compliance red flags.
- Support portfolio governance activities by reviewing shareholder resolutions, advising on contractual compliance, and escalating non-compliance issues to relevant stakeholders.
- Coordinate board and committee operations by preparing annual calendars, agendas, tracking submissions, and ensuring timely preparation and distribution of board materials and packs.
- Draft and review minutes of meetings (MoMs), ensure accuracy of board documentation, and follow up on action items to ensure timely closure and accountability.
- Act as a subject matter expert on governance documentation including shareholder mandates, articles of association, and delegation of authority frameworks in coordination with GRC specialists.
- Ensure proper document control, secure filing of legal records in auditable formats, and adherence to data protection, classification, and compliance policies across departments.
Experience & skills
- Bachelor’s degree in Law or related field is required along with certification in Paralegal studies, Accredited Legal Professional (ALP), and ICA certification.
- Minimum 5 years of experience in legal, governance, compliance, or corporate legal support functions.
- Strong knowledge of legal frameworks, corporate governance, entity formation, and regulatory environments.
- Basic understanding of securities law and transactional documentation within corporate or investment contexts.
- Experience in managing KYC processes, background checks, and compliance documentation for corporate or investment entities.
- Strong organizational skills with ability to manage multiple projects and deadlines in a structured, fast-paced environment.
- Excellent written and verbal communication skills for legal documentation, board communications, and stakeholder coordination.
- Ability to handle confidential information with discretion and maintain strict compliance with governance and data protection policies.
