Governance Manager

Responsible for serving as the focal point for governance matters across the organization by ensuring activities, decisions, and governance documentation comply with applicable regulatory requirements and internal governance standards. Develop, maintain, and continuously enhance the corporate governance framework including committees, charters, RACI matrices, escalation paths, and decision logs to establish clear accountability and effective oversight while supporting regulatory compliance, prudent risk management, and control effectiveness. Coordinate governance inputs for senior management and Board committees, ensuring governance materials are complete, consistent, and decision-ready. Own and operate the end-to-end Policy Governance and Policy Approval Framework covering policy lifecycle management, ownership, periodic reviews, approvals, version control, publication, retirement, and document control. Maintain a centralized policy inventory with ownership, Standard Operating Procedures (SOPs), scope, applicability, approval authority, effective dates, review frequency, and complete audit trails. Ensure policies remain current, aligned with regulatory obligations including SAMA requirements where applicable, and obsolete policies are removed. Maintain a structured regulatory obligations register and compliance mapping linking SAMA requirements to internal policies, controls, SOPs, ownership, testing cadence, and evidence artifacts. Prepare and maintain regulator-ready evidence packs including approvals, logs, attestations, training records, control results, remediation evidence, and supporting documentation. Coordinate SAMA regulatory requests, internal reviews, submissions, assessments, periodic updates, governance approvals, and evidence collection while tracking regulatory commitments, deadlines, and ensuring approved governance channels are followed. Govern external sharing of sensitive governance documents by enforcing review and approval requirements. Manage governance processes for SAMA observations through ownership assignment, milestone tracking, escalation, root-cause analysis, corrective and preventive actions, testing, validation, and closure evidence. Provide governance secretariat support through committee scheduling, agenda planning, annual calendars, minutes preparation, resolutions, action tracking, decision documentation, and follow-up management while ensuring committee decisions are translated into policy updates, control enhancements, communications, and training. Implement governance gates for policy changes, control changes, risk acceptances, risk exceptions, and customer-impacting processes with appropriate justification, approvals, communications, effective dates, and post-implementation reviews. Coordinate governance support for Internal Audit and compliance monitoring by providing documentation, evidence trails, management action plans, and tracking remediation closure while maintaining audit-ready governance records with complete traceability from regulatory requirement to policy, control, and supporting evidence. Drive governance awareness through publication standards, policy communications, owner training, periodic attestations, governance templates, documentation standards, and cross-functional collaboration with Legal, Compliance, Risk, Finance, and business teams. Produce governance reporting and management information covering policy compliance status, overdue reviews, regulatory items, remediation progress, and upcoming SAMA deadlines. Requires experience within banking or financial institutions in the Saudi market with knowledge of SAMA and CMA regulations, corporate governance principles, board and committee operations, regulatory interactions, executive communication, stakeholder management, planning and delivery discipline, confidentiality, sound judgment, and proficiency with Notion, SharePoint, document repositories, governance trackers/registers, and Microsoft Office.
